These Terms of Service (“Terms”) govern all business transactions between Mosaic Studio (“we,” “us,” “our,” or “the Company”) and all commercial customers (“Customer,” “you,” or “your”) who engage with us through this website or offline channels. By accessing our website, requesting quotations, placing orders, or using any of our services, you agree to be bound by these Terms.
1. Scope and Definitions
These Terms apply to all B2B transactions involving the sale, manufacture, and export of artistic tiles and handcrafted ceramic products.
Definitions
- B2B Transaction: Business-to-business wholesale procurement, custom manufacturing, and international trade activities
- Custom Products: Artistic tiles or handcrafted ceramics designed and produced according to Customer’s specific requirements
- Standard Products: Regular inventory items from our existing product catalog
- Order Confirmation: Written acknowledgment accepting the Customer’s purchase order
- Incoterms: International Commercial Terms defining responsibilities of buyers and sellers
2. Customer Eligibility
2.1 Business Customers Only
This website and our services are exclusively available to business entities with valid operating qualifications, including but not limited to:
- Tile and building material wholesalers and distributors
- Interior designers and design firms
- Construction contractors and project developers
- Hospitality and commercial property developers
- Brand partners and retailers
- Architectural firms and design studios
2.2 Account Verification
Customers must provide accurate and complete business information, including valid business licenses, tax identification numbers, and relevant trade qualifications. We reserve the right to:
- Verify Customer credentials before processing orders
- Request additional documentation to establish business legitimacy
- Refuse service to any entity that fails to meet our verification requirements
- Suspend or terminate accounts providing false or misleading information
3. Product Ordering and Quotation

All quotations are provided in writing and remain valid for 30 days from the date of issue unless otherwise specified. Custom product quotations are based on design requirements, specifications, materials, and estimated quantities provided by the Customer.

3.3 Order Confirmation
A binding contract is formed only upon our issuance of an Order Confirmation. The Order Confirmation will specify:
- Product specifications, designs, and quantities
- Unit prices and total order value
- Payment terms and schedule
- Production timeline and delivery schedule
- Shipping method and Incoterms
- Quality standards and inspection requirements
4. Pricing and Payment Terms
4.1 Price Structure
All prices are quoted in US Dollars (USD) unless otherwise agreed. Our prices include:
- Product manufacturing costs
- Standard export packaging (cartons, wooden pallets, foam protection)
- Quality control and inspection
Prices exclude:
- Shipping and freight charges (unless specified as CIF/DDP)
- Customs duties, import taxes, and VAT in destination country
- Insurance (unless specifically requested)
- Special packaging requirements beyond our standard
- Bank charges and currency conversion fees
4.2 Payment Schedule

4.3 Payment Methods
- Bank Transfer (T/T): Our preferred method. Wire transfer details will be provided on the proforma invoice.
- Letter of Credit (L/C): Available for orders exceeding $50,000. All banking charges outside China are borne by the Customer.
- PayPal: Available for sample orders and small transactions under $2,000. Additional 4.5% service fee applies.
4.4 Late Payment and Default
Payment deadlines are strictly enforced. Consequences of late payment include:
- Late fees of 0.05% per day on outstanding balance
- Suspension of production for orders in progress
- Withholding of shipment until full payment is received
- Termination of ongoing business relationship for delays exceeding 30 days
- Legal action to recover debts and associated costs
5. Production and Delivery
5.1 Production Lead Times

Peak season is defined as March-June and September-November. Lead times commence upon receipt of deposit and final confirmation of all technical specifications.
5.2 Quality Standards and Acceptance
All products are manufactured to meet international quality standards for ceramic tiles (ISO 13006, EN 14411, or ANSI A137.1 as applicable). However, Customers should note:
- Handcrafted Variations: As artisanal products, handmade ceramics exhibit natural variations in color, texture, and glaze application. These characteristics are inherent to the product value and not defects.
- Color Matching: We strive for consistency but cannot guarantee exact color matching between batches or between samples and production. A tolerance of 5-10% color variation is considered acceptable in the ceramics industry.
- Size Tolerance: Handmade tiles may have dimensional tolerances of ±2mm, which is within international standards for artisanal ceramics.
5.3 Shipping and Delivery Terms
We offer the following Incoterms 2020 options:
- FOB (Free On Board): We deliver goods to the port of shipment; Customer bears all costs and risks from that point.
- CIF (Cost, Insurance, Freight): We arrange and pay for carriage and insurance to the destination port; risk transfers at loading port.
- DDP (Delivered Duty Paid): We assume all responsibilities and costs to deliver to the named destination; available for select countries only.
- EXW (Ex Works): Customer arranges collection from our factory; minimum order quantities apply.
5.4 Risk and Title Transfer
Unless otherwise agreed in writing:
- Risk of loss or damage passes to the Customer when goods are delivered to the first carrier
- Title to goods remains with Mosaic Studio until full payment is received and cleared
- We strongly recommend Customers purchase comprehensive cargo insurance for all shipments
5.5 Force Majeure and Delays
We are not liable for delays caused by circumstances beyond our reasonable control, including but not limited to:
- Natural disasters (earthquakes, floods, typhoons)
- Pandemics, epidemics, or government-mandated lockdowns
- War, terrorism, civil unrest, or government actions
- Strikes, labor disputes, or supply chain disruptions
- Power shortages or utility failures
- Changes in export/import regulations or tariffs
In such events, we will promptly notify the Customer and negotiate in good faith to minimize impact. Delivery deadlines will be extended by the duration of the Force Majeure event plus reasonable recovery time.
6. Intellectual Property Rights
6.1 Our Intellectual Property
Mosaic Studio retains all rights, title, and interest in and to:
- All original designs, patterns, and artistic works created by our design team
- Product catalogs, technical drawings, and specifications
- Trademarks, brand names, logos, and trade dress
- Proprietary manufacturing techniques and glaze formulas
- Photographs, videos, and marketing materials
Unauthorized reproduction, distribution, or commercial use of our intellectual property is strictly prohibited and may result in legal action.
6.2 Customer-Provided Designs
When Customers provide designs, patterns, or specifications for custom production:
- The Customer warrants they own or have licensed all necessary rights to the design
- The Customer indemnifies us against all claims arising from alleged infringement of third-party intellectual property
- We retain the right to photograph and display completed custom projects in our portfolio unless specifically agreed otherwise in writing
- We may not reproduce custom designs for other customers without explicit written permission
6.3 Design Development Services
For design projects where we create original concepts for the Customer:
- Upon full payment, exclusive rights to the specific design are transferred to the Customer
- We retain the right to use general design concepts, techniques, and non-exclusive elements in other projects
- Design fees are non-refundable once conceptual work has commenced
7. Inspection, Claims, and Returns
7.1 Inspection Obligations
Upon receipt of goods, the Customer must:
- Inspect packaging for visible damage before signing delivery receipt
- Report any shipping damage to the carrier immediately and obtain written acknowledgment
- Conduct thorough inspection of goods within 7 business days of arrival
- Notify us in writing of any discrepancies within the inspection period
7.2 Quality Claims
Quality claims must be submitted in writing within 30 days of goods arrival and include:
- Detailed description of the alleged defect
- Photographic or video evidence
- Production batch numbers and order reference
- Percentage of affected items in the shipment
Upon verification of a valid quality issue, we will, at our sole discretion:
- Replace defective items at our expense
- Issue a credit note for future purchases
- Refund the proportional value of defective goods
- Provide technical guidance for acceptable remediation
7.3 Exclusions from Warranty
We are not responsible for defects caused by:
- Improper storage, handling, or installation by the Customer or third parties
- Use of inappropriate adhesives, grouts, or cleaning chemicals
- Normal wear and tear or environmental exposure
- Structural movement of the building substrate
- Modifications or alterations made after delivery
- Failure to follow our installation and maintenance guidelines
7.4 Return Policy
Due to the custom nature of our B2B products:
- Standard products may be returned within 14 days of delivery if unused, undamaged, and in original packaging; restocking fee of 20% applies
- Custom or made-to-order products cannot be returned except for verified manufacturing defects
- Return shipping costs are borne by the Customer unless goods are confirmed defective
- All returns require prior written authorization (RA number)
8. Limitation of Liability
8.1 Liability Cap
To the maximum extent permitted by applicable law:
- Our total liability for any claim arising from or related to these Terms shall not exceed the total amount paid by the Customer for the specific order giving rise to the claim
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- We are not liable for lost profits, lost revenue, business interruption, or loss of business opportunity
- We are not liable for claims arising from unauthorized modifications or misuse of our products
8.2 Warranty Disclaimer
Except as expressly stated in these Terms, all products are provided “as is” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
9. Confidentiality and Data Protection
9.1 Confidential Information
Both parties agree to maintain strict confidentiality regarding:
- Technical specifications, pricing, and business terms disclosed during negotiations
- Proprietary designs, manufacturing processes, and trade secrets
- Customer lists, project details, and business strategies
- Any information marked as “Confidential” or that should reasonably be understood as confidential
Confidentiality obligations survive termination of the business relationship for a period of 5 years.
9.2 Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws. By providing personal information, you consent to our collection, use, and transfer of data as described in our Privacy Policy.
10. Termination and Suspension
10.1 Termination by Customer
Customers may cancel orders subject to the following cancellation fees:

10.2 Termination by Mosaic Studio
We reserve the right to immediately suspend or terminate business relations if the Customer:
- Violates any material provision of these Terms
- Provides false, fraudulent, or misleading information
- Fails to make payment when due
- Engages in illegal activities or unethical business practices
- Becomes insolvent, files for bankruptcy, or ceases business operations
10.3 Effects of Termination
Upon termination:
- All outstanding payments become immediately due and payable
- We may complete work-in-progress at Customer’s expense or discard materials
- Confidentiality obligations continue in effect
- Provisions regarding intellectual property, limitation of liability, and dispute resolution survive termination
11. Dispute Resolution
11.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law principles.
11.2 Negotiation
In the event of any dispute, controversy, or claim arising from or relating to these Terms, both parties agree to first attempt to resolve the matter through good faith negotiations between senior representatives of each party.
11.3 Arbitration
If negotiations fail to resolve the dispute within 30 days, either party may submit the dispute to arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its Arbitration Rules:
- The seat of arbitration shall be Beijing, China
- The arbitration shall be conducted in English or Chinese, as mutually agreed by the parties
- The arbitral award shall be final and binding on both parties
- Judgment upon the award may be entered in any court having jurisdiction
11.4 Injunctive Relief
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending the resolution of arbitration.
12. General Provisions
12.1 Entire Agreement
These Terms, together with any Order Confirmation and written amendments, constitute the entire agreement between the parties concerning the subject matter hereof and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.
12.2 Amendments
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of the revised Terms. Customers are encouraged to review this page periodically.
12.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall continue in full force and effect.
12.4 Waiver
No waiver of any provision of these Terms shall be effective unless in writing and signed by the party against whom the waiver is sought to be enforced. No failure or delay in exercising any right shall operate as a waiver thereof.
12.5 Assignment
Customers may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any successor in interest or affiliate upon notice to the Customer.

All notices under these Terms shall be in writing and delivered to:

12.7 Language
These Terms are drafted in English. In case of any discrepancy between the English version and any translation, the English version shall prevail.
